CONSTITUTION

  

Article I - This association shall be known as the "Douglaston Yacht Squadron of the Douglaston Club" of Douglaston, Long Island, New York.

  

Article II - Object - The object of this association shall be to encourage the sport of yachting, to promote the science and seamanship and navigation, and to provide and maintain a suitable anchorage and facilities for the recreation and use of its members.

 

Article III - Officers - The officers shall be a Commodore, Vice- Commodore, Rear-Commodore (each of whom shall be a yacht owner at the time of his election), a Secretary, Treasurer, Measurer, Fleet Captain, and Fleet Surgeon.

 

 

Article IV - Duties of Officers – Section 1. It shall be the duty of the Commodore to command the Squadron, appoint a Fleet Captain and Fleet Surgeon, to enforce the Laws and Regulations of the Squadron and to preside at all meetings of the Squadron and at 0 meetings of the Board of Governors and to represent the Yacht Squadron as a Board Member of the Douglaston Club, Inc.

 

Section 2. It shall be the duty of the Vice-Commodore to assist the Commodore in the discharge of his duties and to officiate in his absence.

 

Section 3. It shall be the duty of the Rear-Commodore to assist the Commodore and Vice-Commodore in the discharge of their duties and to officiate in their absence.

 

Section 4. It shall be the duty of the Secretary:

(1) To keep minutes of the meetings of the Squadron and of the Board of Governors in books provided for that purpose, and to have custody of all reports and documents connected with the proceedings of the Squadron.

(2) To keep a correct Roll of Members, together with the dates of their election.

(3) To receive applications for membership, to transmit same to the Membership Committee and to post a list thereof in the Club House.

(4) To notify each member-elect of his election.

(5) To keep a correct list of the yachts enrolled in the Yacht Squadron whose owners are entitled to launch service.

(6) To conduct correspondence of the Squadron; to give notice of all meetings of the Squadron; and in the case of Special Meetings to state the business intended; to notify members for their election to office and of their appointment to serve on Committees and to perform such other services as may be required by the Squadron or by the Governors.

  

Section 5. It shall be the duty of the Treasurer:

(1) To assist the Treasurer of the Douglaston Club in all financial matters pertaining to the Yacht Squadron.

(2) To present at each of the stated meetings, and whenever so requested by the Board of Governors, a detailed account showing the financial condition of the Squadron and file the same.

(3) The duties of the Treasurer shall be assumed by the Secretary if the Treasurer be ill or absent.  

 

Section 6. It shall be the duty of the Measurer to measure yachts, to give them ratings and report the same to the Secretary. The Measurer "I also cooperate with the Race Committee in the handicapping of yachts.  

 

Section 7. The Fleet Captain shall be the Executive Office of the Commodore and shall hold the office during the Commodore's pleasure.  

 

Section 8. It shall be the duty of the Fleet Surgeon to look after the sanitary condition of the fleet and to perform such duties pertaining to his profession as the Commodore shall direct.

   

Article V - Powers and Duties of the Board of Governors -  

 

Section 1. The Board of Governors shall meet at the call of the Commodore on a day suitable to the Board of Governors.

  

Section 2. Seven members shall constitute a quorum.

  

Section 3. Under the direction of the Douglaston Club Board of Directors, they shall have the responsibility to manage the affairs and finances of the Squadron and shall have the general control of all its property.

  

Section 4. They shall make such rules as they deem proper respecting the use of privileges; prescribe rules for the admission of strangers; fix penalties for violations of the rules and make rules for the Squadron government and for their own government and that of the Committees appointed by them - subject to the approval of the Douglaston Club Board of Directors.

  

Section 5. They shall designate membership to the Yacht Squadron as hereinafter provided.

  

Section 6. They shall have the power to suspend or expel any member of the DYS for conduct which they shall deem improper or prejudicial to the Squadron, but no member shall be expelled of suspended for longer than thirty days without a hearing.

  

Section 7. They may, as hereinafter provided, drop from the roll any delinquent member, and may also reinstate such members as hereinafter provided.

Section 8. They shall appoint all Standing committees and exercise fall authority over them, except as hereinafter provided and shall appoint such other Committees as shall seem to them to be necessary.

   

 

Article VII - Standing Committees

 

Section 1. The Standing Committees shall be a race Committee, Mooring Committee and an entertainment Committee, which shall be appointed annually by the Board of Governors at the first regular meeting after annual election.

 

Section 2. The Race Committee shall consist of three members. They shall receive entries for all races, act as Judges thereof, and in the event of the absence of any of them, appoint a substitute, provide stake boats, appoint members to assist the Committee, and have the direction and control of all the races. Ali disputes shall be subject to their decision, which shall be based upon the racing rules and regulation of the "United States Yacht Racing Union', so far as they apply, and when not, the ordinary rules of the sea shall prevail. They shall have full power to disqualify any yacht  which shall have violated any rule of the Squadron of custom of the sea. They shall keep a record of their proceedings, and of all races, with full details, in a book provided for that purpose. The Chairman of the Race Committee shall appoint a Class Chairman for each of the acting racing classes. These Class Chairmen shall serve as members ex-offcio of the Race Committee.

 

Section 3. The Mooring Committee shall consist of three members, who shall locate the moorings of all yachts in the Squadron. Nothing herein contained shall be constructed as in conflict with the rules and regulations of the Douglas Manor Association regarding the use of the pier and dock facilities.

 

Section 4. The Entertainment Committee shall consist of three members who shall provide and take charge of all entertainment given by the Squadron in cooperation with the Douglaston Club Entertainment Committee.

 

Article VIII - Nominating Committee

 

Section 1. There shall be a Nominating Committee of three Members who shall be appointed by the Board of Governors in June,

 

Section 2. The Nominating Committee shall nominate candidates for all elective offices to be filled at the next annual meeting, file with the Squadron Secretary its written report of such nominations, signed by all its members, cause the names of such candidates, with the offices for which they are nominated, to be posted on the Club House bulletin board at least three weeks prior to the Annual Meeting.

 

Section 3. Any six members in good standing may nominate candidates for any office by filing a petition with the Nominating Committee at least two weeks and two days prior to the Annual Meeting. The names of such candidates wit the offices for which they are nominated shall be posted on the Club House bulletin board at least two weeks prior to the Annual Meeting. Such nomination shall be subscribed to by the members nominated as hereinbefore provided.

  

 

 

Article IX -

 

Section 1. The Commodore, Vice- Commodore, Rear-Commodore, Secretary, Treasurer and Measurer shall be elected by Members of the Yacht Squadron at the Annual Meeting, and shall hold office for one year, or until their successors are elected.

 

Section 2. At each Annual Meeting there shall be elected three members of the Board of Governors, who

shall hold the office for three years, or until their successors are elected. Section 3. Voting shall be by ballot or by a show of hands, and a majority of votes cast shall be necessary to elect.

 

Section 4. All vacancies in elective office shall be filled by the Board of Governors.

  

Article X - Membership

 

Section 1. The Squadron shall be composed by regular and Honorary Members, all of whom must be members in good standing of the Douglaston Club, Inc. Members of the family of a member of the Douglaston Club who are entitled to its privileges of the Douglaston Club shall also be eligible for Membership in the Squadron.

 

Section 2. Regular membership in the DYS is available to any Douglaston Club member in good standing automatically upon simple,written request for launch service, or in the case of non-boat-owners, subscription for a DYS membership and payment of the fee prescribed by the Board of Governors.

 

Section 3. No member in arrears for dues, or other indebtedness, shall be eligible to hold office or entitled to vote or to enter in any race sponsored by the Squadron.

 

Section 4. Any member not in arrears for dues, or other indebtedness, may tender a written resignation of his membership to the secretary who shall report the same to the Board of Governors at their next meeting for action.

 

Section 5. Honorary members may be elected at any meeting of the squadron after recommendation by the Board of Governors, but three negative votes shall reject. They shall be exempt from dues and assessments; they may speak at all meetings but shall not vote or hold office.

 

Section 6. Members shall be responsible for the conduct and indebtedness of all persons admitted as Squadron guests at their request.  

 

Section 7. There shall be Associates of the Douglaston Yacht Squadron who shall be eligible to apply for election by the Board of Governors provided that they are owners of yachts moored in the Squadron area and are paid subscribers to the Squadron launch service. Associates may be elected to the Board of Governors, hold committee membership and vote at meetings, but shall not be eligible for election as Officers. Status as an Associate shall not in any way include privileges of the Douglaston Club.

 

    

Article XI - Meetings

 

Section 1. The Annual Meeting shall be held during the first week in December on such day as determined by the Board of Governors.

 

Section 2. The secretary shall call Special Meetings as the direction of the Commodore in his discretion, or upon the written request of ten members.

 

Section 3. Ten members shall constitute a quorum for the transaction of business.

 

Section 4. Notices of Annual and special Meetings shall be posted by the Secretary for the same length of time on the Club House bulletin board.

 

Article XII - Fees and Dues Launch and non-boat-owners fees shall be fixed by the Board of Governors as approved by the Douglaston Club Board of directors and are payable annually in advance.

 

Article XIII - Amendments - The Constitution may be amended at any meeting of the Squadron by a two- thirds vote of all present, provided the proposed amendment has been recommended by the Board of Governors or approved in writing by fifteen members in good standing, and a copy thereof has been mailed to every member at least ten days in advance of such meeting; all subject to ratification by the Douglaston Club Board of Directors.
